Company Strike Off in Singapore

Close your Singapore company cleanly. We review eligibility, prepare the resolutions and final paperwork, and manage the ACRA strike-off from application to completion.

What striking off a company means

Striking off is the simplest way to close a Singapore company that has ceased business: an application to ACRA to remove the company from the register. Once struck off, the company ceases to exist and its recurring obligations (corporate secretarial, accounting, tax filings) end with it.

It's designed for clean situations, where the company has no outstanding liabilities, no disputed assets to distribute, no ongoing proceedings, and its tax matters are settled with the Inland Revenue Authority of Singapore (IRAS). Where those conditions don't hold, the alternative route is a formal winding up.

Who it's for

  • Dormant companies no longer worth their annual compliance costs.
  • Founders who have moved on and want statutory obligations to end properly.
  • Companies restructuring a group and retiring unused entities.

Strike off vs winding up

Strike off is administrative: cheap, quick to apply for, and suitable when the company is dormant or has wound its affairs down cleanly. Winding up (liquidation) is a formal process with a liquidator appointed to realise assets and settle creditors. It's necessary when there are meaningful assets or liabilities to resolve, and it costs considerably more.

For most small companies that simply stopped trading, strike off is the right tool. The work is in the preparation: final accounts (zeroised where appropriate), tax matters closed with IRAS, and the shareholder resolution done properly. That's exactly what our S$500 service covers. If you're not ready to close permanently, a dormant company package keeps the entity alive and compliant at S$690 a year instead.

Frequently Asked Questions

What are the conditions for a strike off?

Broadly: the company has ceased business, has no outstanding liabilities or charges, no ongoing court proceedings, and no outstanding tax or ACRA matters. We check all of this before applying.

How long does it take?

After the application is approved, ACRA’s statutory notice process runs its course, typically around four to six months in total.

Strike off or winding up: which one do I need?

If the company has ceased business, has no outstanding liabilities, and its tax affairs are settled, strike off is the simpler and cheaper route. Meaningful assets or debts to resolve point to a formal winding up instead. We’ll tell you honestly which applies before you spend anything.

Can a struck-off company be restored?

Yes. Restoration to the register is possible for a period after striking off, by court order. It isn’t trivial, though, so we make sure closure is the right call before applying.
