What a corporate secretary actually does
The company secretary is a key officer responsible for keeping your company on the right side of the Companies Act. In practice that means preparing board and shareholder resolutions, maintaining the statutory registers, filing changes and annual returns with the Accounting and Corporate Regulatory Authority (ACRA), convening the Annual General Meeting (AGM), and advising the directors when a decision needs paperwork behind it.
It's an appointed statutory role rather than an admin job title. The secretary's name is on your ACRA record, and the quality of the work determines whether deadlines are met and filings hold up.
Is a corporate secretary mandatory?
Yes. Under the Companies Act, every Singapore company must appoint a company secretary within six months of incorporation, the position can't stay vacant for more than six months, and the secretary must be ordinarily resident in Singapore. A sole director can't double as the company secretary.
